Please read these terms carefully. By creating an account or using Grade Lens, you agree to be bound by these Terms of Service. If you are using Grade Lens on behalf of a school or district, you represent that you have authority to bind that organization to these terms.
Section 01

Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Grade Lens ("Grade Lens," "we," "us," or "our") governing your access to and use of the Grade Lens platform, including our web application, any associated desktop tools (such as Grade Lens Sync), and all related services (collectively, the "Service").

By accessing or using the Service, you affirm that you are at least 18 years of age, have read and understood these Terms, and agree to be bound by them. If you do not agree, you may not use the Service.

Section 02

Description of Service

Grade Lens is a grading productivity platform designed for educators. The Service allows teachers to photograph paper score sheets and score records, convert them into organized digital grading data, calculate averages and course percentages, manage grading templates, and export results in various formats (CSV, XLSX, PDF).

Certain features are currently in beta and may behave differently or be modified over time, including Automatic Worksheet Grading and Grade Extraction. These features are described in more detail in Section 8.

We reserve the right to add, modify, or discontinue any feature of the Service at any time with reasonable notice to users.

Section 03

Accounts & Eligibility

Registration

To access the full Service, you must register for an account using a valid email address. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.

Eligibility

The Service is intended for use by educators and educational institutions. You represent that your use of Grade Lens is for legitimate educational and administrative purposes.

Account Security

You agree to notify us immediately at support@gradelens.app if you suspect any unauthorized use of your account. We are not liable for losses resulting from unauthorized account access that occurs through no fault of our own.

Section 04

Plans, Trials & Billing

Free Plan

The Free plan allows you to create up to 3 grade sheets on a lifetime basis at no charge. Free plan features include photo-to-grid conversion, averages, course percentages, CSV/XLSX/PDF export, and grading templates.

Paid Plans

Grade Lens currently offers the following paid subscription plans:

  • Basic ($8/month): 25 grade sheets per month, all Free features, saved sheet configurations, source image access, and priority support.
  • Premium ($20/month): 200 grade sheets per month, all Basic features, Automatic Worksheet Grading (Beta), bulk worksheet processing, and worksheet-to-sheet export.

Free Trial

All paid plans include a 14-day free trial. No credit card is required to start a trial. At the end of the trial period, your plan will automatically convert to a paid subscription unless you cancel before the trial expires.

Billing & Renewals

Paid subscriptions are billed monthly and renew automatically. You authorize Grade Lens to charge your payment method on a recurring basis. All fees are non-refundable except as required by applicable law or as expressly stated in these Terms.

Cancellation

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period. You will retain access to paid features until that date.

Price Changes

We reserve the right to change subscription pricing. We will provide at least 30 days' advance notice of any price increase via email. Continued use after a price change takes effect constitutes acceptance of the new pricing.

Section 05

Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

  • Upload content that contains malware, viruses, or any malicious code
  • Attempt to gain unauthorized access to any part of the Service or its underlying infrastructure
  • Use the Service to process data of individuals without proper consent or legal authority
  • Reverse engineer, decompile, or disassemble any portion of the Service
  • Resell, sublicense, or otherwise commercialize access to the Service without our written consent
  • Use automated means (bots, scrapers, crawlers) to access the Service in a manner that imposes unreasonable load on our systems
  • Misrepresent your identity or affiliation in any way
  • Violate any applicable law, regulation, or third-party rights

Violation of this section may result in immediate suspension or termination of your account.

Section 06

Your Data & Student Data

Ownership

You retain full ownership of all data you upload to Grade Lens, including images of score sheets, grade data, and student information ("User Data"). We do not claim any ownership rights over your User Data.

License to Process

By uploading User Data, you grant Grade Lens a limited, non-exclusive license to process, store, and display that data solely for the purpose of providing the Service to you. We will not use your User Data to train machine learning models or for any purpose beyond operating and improving your individual experience with the Service.

Student Data & FERPA

Grade Lens is designed to support educators who handle student records. We treat any student-related data processed through the Service as confidential. If you are a school official using Grade Lens to process educational records, you are responsible for ensuring your use complies with the Family Educational Rights and Privacy Act (FERPA) and any other applicable student privacy laws.

A note on student privacy: We recommend avoiding uploading personally identifiable student information (such as full names or ID numbers) wherever a student number or anonymized identifier will suffice. Grade Lens is not a Student Information System (SIS) and is not intended for long-term storage of sensitive student records.

Data Deletion

You may delete your User Data at any time from within the Service. Upon account termination, we will delete your data within 30 days, except where retention is required by law.

Privacy Policy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

Section 07

Intellectual Property

Our Property

The Service — including its software, design, logos, trademarks, features, and content created by Grade Lens — is owned by Grade Lens and protected by intellectual property laws. These Terms do not grant you any rights to our intellectual property except the limited license to use the Service as described herein.

Feedback

If you submit suggestions, feature requests, or feedback about the Service ("Feedback"), you grant us a royalty-free, perpetual, irrevocable license to use and incorporate that Feedback into the Service without any obligation to you.

Section 08

Beta Features

Grade Lens offers certain features designated as "Beta," including Automatic Worksheet Grading and Grade Extraction. These features are provided on an as-is basis for early access and testing purposes.

Beta features:

  • May contain bugs or produce inaccurate results
  • May be modified or discontinued at any time without notice
  • Are not covered by any service level commitments
  • Should not be relied upon as the sole source of grade records

We appreciate your feedback on beta features and use it to improve the product. By using a beta feature, you acknowledge and accept these limitations.

Section 09

Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Grade Lens does not warrant that:

  • The Service will be uninterrupted, error-free, or secure
  • Any data processing results (including grade extraction or automatic grading) will be accurate or complete
  • Defects in the Service will be corrected
  • The Service will meet your specific requirements

You are solely responsible for verifying the accuracy of any grades or data produced by the Service before using them for official academic purposes.

Section 10

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GRADE LENS AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOSS OF DATA, LOSS OF PROFITS, OR DAMAGE TO GOODWILL — ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

IN NO EVENT WILL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR YOUR USE OF THE SERVICE EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID TO GRADE LENS IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

Section 11

Indemnification

You agree to indemnify, defend, and hold harmless Grade Lens and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to:

  • Your use of or inability to use the Service
  • Your violation of these Terms
  • Your violation of any third-party rights, including student privacy rights
  • Any content or data you upload to the Service
Section 12

Termination

By You

You may cancel your account at any time from your account settings or by contacting us at support@gradelens.app. Upon cancellation, your access to paid features will continue until the end of your current billing period.

By Us

We reserve the right to suspend or terminate your account at any time, with or without notice, if we reasonably believe you have violated these Terms or if continued operation of your account poses a risk to us, other users, or third parties. In cases of non-payment, we will provide at least 7 days' notice before suspension.

Effect of Termination

Upon termination, your right to use the Service ceases immediately. Sections 6 (data deletion timelines), 7 (intellectual property), 9 (disclaimers), 10 (limitation of liability), 11 (indemnification), and 14 (governing law) survive termination.

Section 13

Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you by email and update the "Last updated" date at the top of this page. Material changes will take effect no sooner than 14 days after notification.

Your continued use of the Service after the effective date of updated Terms constitutes your acceptance of those changes. If you do not agree to the updated Terms, you must stop using the Service and may cancel your account.

Section 14

Governing Law & Disputes

These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

Any dispute arising from or relating to these Terms or the Service that cannot be resolved informally will be submitted to binding arbitration under the rules of the American Arbitration Association, conducted in English. The arbitration will take place in Delaware. Judgment on the award rendered may be entered in any court of competent jurisdiction.

Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect intellectual property rights or confidential information.

Class action waiver: You agree that any dispute resolution proceedings will be conducted on an individual basis only, and not as a class, consolidated, or representative action.
